These Terms of Service ("Terms") govern your use of the EmsoftBD website and any engagement for custom software development, design, maintenance, or related services offered by EmsoftBD ("we", "us"). By using our site or entering into a project agreement, you agree to these Terms.
Services
EmsoftBD provides custom web applications, mobile apps, business software, integrations, and ongoing support. Specific scope, deliverables, timelines, and fees are defined in a written proposal, statement of work, or contract signed by both parties.
Client responsibilities
- Provide timely feedback, content, and access required for delivery
- Ensure materials you supply do not infringe third-party rights
- Pay invoices according to agreed payment schedules
Intellectual property
Unless otherwise agreed in writing, upon full payment for a project, the client receives rights to use the deliverables for their business. EmsoftBD may retain the right to reuse general know-how, non-confidential techniques, and showcase work in our portfolio unless a mutual NDA restricts it.
Confidentiality
Both parties agree to protect confidential business and technical information shared during a project, except where disclosure is required by law.
Warranties & limitation of liability
Services are provided with professional care consistent with industry standards. Except where prohibited by law, EmsoftBD is not liable for indirect, incidental, or consequential damages. Our total liability for any claim relating to a project is limited to the fees paid for that project in the three (3) months preceding the claim.
Termination
Either party may terminate a project per the signed agreement. Work completed and expenses incurred before termination remain payable.
Governing law
These Terms are governed by the laws of Bangladesh, without regard to conflict-of-law principles. Disputes shall be subject to the courts of Dhaka, Bangladesh, unless otherwise agreed in writing.
Changes
We may update these Terms from time to time. Continued use of the website after changes constitutes acceptance of the updated Terms.
